Constitution Article I: Name
|
|
This non-profit educational organization shall be known as the International Trumpet Guild and will be referred to below as the "ITG" or as the "Guild." Both the name "International Trumpet Guild" and the initialed logo are registered trademarks. All rights reserved.

Constitution Article II: Purposes
|
|
Section 1. PURPOSES The general purposes of the Guild shall be: to promote communications among trumpet players around the world and to improve the artistic level of performance, teaching, and literature associated with the trumpet.
In pursuit of its aims and purposes, the Guild and its members may:
- Hold annual, or more frequent workshops, lectures, and seminars for individual and group instruction in the art, science, and technique of trumpet playing (See Services and Programs, Section B).
- Publish a journal containing education, scientific, historical and other material appropriate to the trumpet, as well as a various publications of value to the membership and membership directory from time to time. (See Services and Programs, Section A).
- Award grants and scholarships to competition winners and other worthy applicants. (See Services and Programs, Section J-M)
- Encourage composers and arrangers to write for the trumpet, both as a solo and as an ensemble instrument. (See Services and Programs, Section E).
- Commission trumpet compositions. (See Appendix C.1)
- Establish close working relationships with music teachers and players for the purpose of assisting in the identification and instruction of talented young musicians as trumpet players.
- Present honors and recognition for distinctive service in the cause of the trumpet. (See Appendix I)

Constitution Article III: Affiliates and Relationships
|

Section 1. AFFILIATES A group of not less than five (5) active members of the Guild may organize an affiliated organization to be called a chapter of the ITG. Applications should be made to the Coordinator of Affiliate Chapters, and chapters may exist at local, regional, state or provincial, national or international levels. (See Bylaws Article VII for further details).
Section 2. RELATIONSHIPS
The Guild shall endeavor to maintain a relationship with national music associations, and with local, national and international symposia, meetings and workshops of concern to trumpet players.

Constitution Article IV: Membership
|
|
Section 1. REGULAR MEMBERSHIP
Any person may become a member of the Guild upon payment of the prescribed dues yearly. Regular members whose dues are paid shall have the privileges of participation in the activities of the Guild, including the rights of voting and holding office, admission to general meetings upon the member's compliance with registration requirements, and a subscription to such publications as the Guild may sponsor from time to time.
Section 2. STUDENT MEMBERSHIP Any student regularly enrolled in an accredited school, college or university may become a student member of the Guild upon payment of the prescribed dues. Student members shall have all the privileges of active membership, including the rights of voting and holding office. To qualify for student membership a photocopy of proof of status must be provided with each application or renewal.
Section 3. SENIOR CITIZEN MEMBERSHIP Any person (age 65 or older) may become a senior citizen member of the Guild upon payment of the prescribed dues. Senior members shall have all the privileges of active membership, including the rights of voting and holding office. To qualify for senior citizen membership a photocopy of proof of status must be provided with the initial membership application.
Section 4. LIBRARY MEMBERSHIP
Any school, college, university or other institution may join as a library member of the Guild upon payment of the prescribed dues. Library members shall have all the privileges of active membership, including the rights of voting and holding office. Library memberships are granted to libraries of any kind.
Section 5. LIFE MEMBERSHIP Life members in the Guild may be conferred by two-thirds vote of the Board of Directors of the Guild. Such membership shall be conferred to individuals in recognition of distinguished service, and shall entitle said members to attend general meetings and functions of the Guild and such members shall be exempt from paying annual dues, and shall receive full subscription to such publications as the Guild shall publish. Life membership shall automatically be granted to the immediate Past President upon the President's notification to the Board of Directors that such membership is recommended unless a member of the board objects, in which case the two-thirds vote of the Board of Directors shall be required. Past conference hosts shall also be granted life membership in the Guild. Persons given the ITG Award of Merit and Honorary Award shall be also be granted life membership in the Guild.
Section 6. RENEWAL OF MEMBERSHIP. Renewal of membership occurs with the rendering of the appropriate membership fee and any appropriate papers to the treasurer of the guild. The annual membership period runs from July 1 to June 30 the following year. Membership renewal is due by July 1. Payment at any time within the membership year entitles the member to all publications during that membership year.

Constitution Article V: Government

Section 1. OFFICERS
The elected officers of the Guild shall consist of a President, Vice President/President-Elect, and Secretary. When any President completes his or her term as President, he or she will continue to serve as an officer of the Guild as Past President for a period of two years. Subject to approval of the Board of Directors of the Guild, the President shall appoint a treasurer, who will be one of the five officers. Also Subject to the approval of the Board of Directors of the Guild, the President shall appoint the following: 1) a Publications Editor; 2) a Web Site Director; 3) a General Counsel. Terms of office shall be for two years. Officers may be re-elected or re-appointed. (See Bylaws Article II and Appendix B for specific duties).
Section 2. BOARD OF DIRECTORS
The Board of Directors shall consist of the elected officers named in Section 1, the Treasurer (see Appendix B, Section 4), the Past President, the ITG Publications Editor, The Web Site Director, and additional directors to be elected by the voting membership of the Guild. Subsequent to each election the President may appoint not more than two (2) non-U.S. members to serve on the Board to achieve a total of not more than four (4) appointments. The Board shall consist of not fewer than twelve (12) nor more than twenty-four (24) members including the elected and appointed officers. Except for the officers named in Section 1, the terms of office for the elected Board members and the appointed non-U.S. Board members shall be four (4) years. Board members may be re-elected. No ITG Board Member may serve more than three consecutive terms on the Board. After three terms, followed by a four-year hiatus, a person may once again run for Board membership or accept an appointment to the Board. Service to the organization as an ITG Officer (who are members of the Board by virtue of their office) shall not count toward the three consecutive terms. Board members who serve as ITG Web Site Director or ITG Publications Editor shall be exempt from this rule. However, if the Web Site Director or Publications Editor serve 12 years or more, they shall not be eligible to serve on the Board for at least four years after resigning the position. Board members appointed by the President to fill a position vacated by an elected Board member shall remain on the Board for the duration of the term of the member replaced. (See Bylaws Article IV and Appendix B Section 6 for specific duties).
Section 3. STANDING COMMITTEES
An Executive Committee of the Guild shall be established and be comprised of the President, Vice President, Secretary, Treasurer, and Past President. The Executive Committee is responsible for overseeing the day-to-day operations of the Guild and will recommend to the Board changes in policy and procedure. The Executive Committee and Board shall establish, appoint members and dissolve Standing Committees necessary to assist with the work of the Guild. Such committees and their charges shall be enumerated by the bylaws of the Constitution. Committees will consist of not less than three (3) nor more than six (6) Guild members. Coordinators/chairs shall be appointed by the President upon approval of the board of Directors, and coordinators shall select and chair their committees in advisement with the President. In the event that one of the standing committees is not needed, the Executive Committee shall assume the responsibility of that work for the Guild.

Section 4. LEGISLATIVE POWERS. The legislative power of the Guild shall be vested in the membership, the officers (when acting as an Executive Committee), and the Board of Directors.
Section 5. BIENNIAL ELECTIONS
Elections shall be held in every odd-numbered year for vice-president/president-elect, secretary, and the Board of Directors. The vice-president, at the end of his/here two-year term, shall become the President of the Guild for a two-year period. The Nominating Committee shall be appointed by the President and shall consist of two (2) Board members, and three (3) Guild members appointed at large, representing as wide a geographical area and professional interest area as possible. The nomination process shall require that a timely notice be printed in the ITG Journal or other publication which reaches every member, stating that the Nominating Committee is open to receiving nominations for officers and directors. After the Nominating Committee develops a slate of nominees, ballots will be mailed to all eligible members of ITG by the Secretary who shall form an election committee to count the ballots within thirty (30) days after the deadline for their return. The membership will be notified of the election results.
Section 6. VACANCIES
The Vice President shall assume the position of President should the President be unable to continue his service. The President shall appoint a Vice President, should that position become vacant, subject to approval of the Board of Directors. An interim election will be held for the office of Secretary should the position become vacant, with a temporary appoint-ment by the President until the election. The President may appoint a person to complete the term of any member of the Board of Directors who is unable to complete his or her term of office.
Section 7. REMOVAL FROM OFFICE
The Board of Directors by a two-thirds vote may remove from office any officer, director, or coordinator who is unable to fulfill his duties, when, in the opinion of the Board, the effectiveness of the Guild is impaired.

Constitution Article VI: Meetings and Activities

Section 1. ANNUAL CONFERENCE.
An annual conference may be held at a time and place designated by the Board of Directors. The members of the Board of Directors or a conference host and an advisory committee approved by the Board shall plan and be responsible for the program, which may include concerts, lectures, demonstrations, exhibits, workshops, general meetings, discussion groups and social events. (See Services, Section B for further details)
Section 2. ANNUAL MEETING OF THE BOARD OF DIRECTORS
The Board of Directors will meet at least once annually. Meetings are usually scheduled in conjunction with the Annual Conference. In the event that a conference is not held, a date and time for the Annual Meeting shall be determined by the President in consultation with the Board at large.
Section 3. AREA MEETINGS
Area meetings and programs may be held at various times and places as determined by the cooperating affiliates.
Section 4. OTHER MEETINGS AND ACTIVITIES
Other meetings and activities needed to further promote the purposes of the ITG may be called or initiated by the President, with the approval of the Board of Directors. Executive Committee will meet at least once a year.

Constitution Article VII: Funds and Assets

Section 1. MONEYS RECEIVED
Any moneys received from any source whatsoever shall be transmitted to the Treasurer and properly receipted.
Section 2. DISBURSEMENT OF FUNDS AND ASSETS Funds and assets of the Guild shall be disbursed by the Treasurer in accordance with an annual budget adopted by the Board of Directors.
Section 3. BALANCE SHEET
The Treasurer shall draw up a balance sheet each year and submit it to the Board of Directors. This balance sheet shall be published to the membership annually.

Constitution Article VIII: Quorums
|
|
Section 1. QUORUM OF THE BOARD OF DIRECTORS
One third of the members of the Board of Directors at a meeting duly assembled or one third of the members of the Board responding by mail shall be necessary to constitute a quorum for the transaction of business, and the act of a majority of the Directors, by the above quorum, shall be the act of the Board.
Section 2. QUORUM OF THE MEMBERSHIP
One third of the voting membership (or authorized proxies) at a meeting duly assembled, or one third of the voting membership responding by mail shall be necessary to constitute a quorum of the membership for the transaction of business, and the act of a majority of the membership, by the above quorum, shall be the act of the membership

Constitution Article IX: Rules of Order
|
|
Robert's Rules of Order, current revision, shall govern all general meetings of the Guild.
|
Constitution Article X: Amendments
|
|
Amendments to this Constitution may be made by a two-thirds vote of a quorum of the membership.
|
Constitution Article XI: Private Property
|
|
The private property of individual members of this Guild shall not be liable or responsible for debts of the Guild.
|
Constitution Article XII: Bylaws
|
|
The Guild may make and alter the bylaws consistent with the provisions indicated in this Constitution and in accordance with the provisions contained in Article VIII concerning meetings and quorums.

Constitution Article XIII: Private Gain and Political Activity
|
|
No part of the net earnings of the Guild shall inure to the benefit of, or be distributed to, its members or officers, or to other individuals, except that the Guild shall be authorized and empowered to pay reasonable compensation for services rendered to the Guild and to make payments and distributions in furtherance of the purposes set forth in Article II above. No substantial part of the activities of the Guild shall comprise the carrying on of propaganda, or otherwise attempting to influence legislation on either local, state, or national level, and the Guild shall not participate in, or intervene in (including the publishing and distribution of statements) any political campaign of behalf of any candidate for public office. Not withstanding any other provision of this Constitution, the Guild shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under Section 501 (c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or, (b) by an organization, contributions to which are deductible under Section 170 (c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

Constitution Article XIV: Dissolution of the Guild
|
|
Upon the dissolution of the Guild, the Board of Directors shall, after paying and making provision for the payment of all the liabilities of the Guild, dispose of all of the assets of the Guild exclusively for the purpose of the Guild in such a manner, or to such an organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purpose as shall at the time qualify as an exempt organization or organizations under Federal income tax under Section 501 (c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. Any of such assets not so disposed of shall be disposed of by the appropriate Court of first impression of the county in which the principal place and office of the Guild is then located, exclusively for such purpose or to such organization or organizations, as the Court shall determine, which are organized and operated exclusively for such purposes. |
